Midwich enters the Dutch market

Netherlands: AV broadliner Midwich has acquired a majority stake in AV specialist van Domburg Partners. Van Domburg joins Midwich offices in Australasia, France, Germany, Ireland, Spain and the United Kingdom. Stephen Fenby, Managing Director Midwich Group, commented: "the acquisition of Van Domburg marks Midwich's entry into the Benelux markets, enabling the Group to trade with a broad customer base across a variety of customer segments. The addition of this territory to the Group’s portfolio increases Midwich's geographical coverage, with the Group operating in territories which account for approximately 70% of the European audio visual market. I look forward to welcoming the van Domburg team into the Midwich Group, and working with them to further develop this exciting market."

The acquisition signals Midwich's entry into the Benelux, a market the Group has identified as important in its international expansion. The acquisition is further delivery of the Group's strength to grow its operations through a combination of organic developments and selected acquisitions. Midwich will acquire a majority stake from the two joint Managing Directors, with the option to acquire the remaining shares over the next three years. The Company's Managing Directors will continue to be responsible for the management of the business, and will remain in their current positions.

Headquartered near Rotterdam, Van Domburg is a market leader in the Dutch large format displays market. In recent years, it has developed its technical video product portfolio, offering solutions in digital signage, control and connectivity amongst others. As well as leading the Dutch market in large format displays, its subsidiary "Dutch Light Pro" distributes high-end lighting products primarily to electrical contractors and installers. A key part of the company's proposition is to provide lighting design consultancy services.

Two new brands for Beta Distribution and PSCo

United Kingdom: supply and storage specialist Beta Distribution has been appointed as distributor for AccelStor (software-defined all-flash arrays)1 and ADATA (DRAM modules, NAND Flash products, and mobile accessories)1. PSCo, the specialist distribution and trade rental division of the Midwich Group, and Epson have agreed an exclusive UK territory agreement for the distribution of its laser installation projectors3. As a result of the partnership, PSCo will be making a substantial capital investment in Epson's laser projection range, allowing the company to provide a free evaluation programme, as well as offering professional rental packages to its trade customers (source: Channel Info United Kingdom 1, 2 and 3).

Midwich goes south with Earpro

British AV broadliner Midwich has entered into a binding agreement to acquire a majority stake in Spanish AV VAD Earpro. The acquisition values the equity of Earpro at approximately €11m, including a net cash balance of approximately €3.2m. Managing Director Miguel Mezquita retains a stake in the business and will continue to lead the business as part of the Midwich Group. The Earpro business, headquartered in Barcelona enables the entry of the Midwich Group into the Spanish and Portuguese markets. The acquisition is further delivery of the Group's strategy, stated at IPO to grow operations through a combination of organic development and selective acquisitions.

Spain and Portugal are markets we've identified as significant to the Group's international growth ambitions. Earpro's heritage in the audio market has enabled the business to develop its sales in complementary video and lighting technologies. As a market leader in professional audio distribution, the business has a strong platform to develop video and lighting sales through its existing customer base.

Specialist services provided by the Company include: system design, pre-installation product configuration, pre and post sale technical support, product demonstrations, and product repairs. Through its portfolio of leading vendors, Earpro will continue to provide the complete audio solution to the professional market. This includes sales of product technologies in microphones, mixers, amplifiers, sound systems, public address systems, ear monitoring systems and digital system processors (DSP), along with their lighting and video technology ranges.

Midwich eyes European M&A

AV broadliner Midwich is set to continue on the acquisition trail this year after announcing a revenue increase of 17.8%, according to managing director Stephen Fenby. Midwich floated publicly in May last year and quickly followed the IPO up with the acquisitions of UK broadcast specialist Holdan and New Zealand-based Wired in September. Fenby said that, while he would not rule out further UK acquisitions, mainland European activity is more likely as the distributor looks to move into new territories - with "a number of conversations ongoing". Fenby said he is "hopeful" that some acquisition activity will be announced this year. "Very much top of the agenda is the development of our network, particularly across [the rest of] Europe", he said. "That process takes time to get to know the management team, it takes time for them to get to know us, so we don't just go in with a chequebook and say ‘off you go' - we want them to stay and we want to work with them. Those acquisitions can take a bit longer, but hopefully when we get them we've got the right ones with a high-calibre team and then the vendors know that there is another new territory that we're in that they can come and work with us in." Midwich acquires Holdan

United Kingdom: AV broadliner Midwich has acquired video specialist Holdan for a maximum consideration of approximately €8.6m. Midwich has acquired 75% of the issued share capital of Holdan from Chris Daniels and Allan Leonhardsen. In line with the Company's long term succession plan, Chris Daniels has stepped down as Holdan's managing director, but will continue with the business on a full time basis before retiring in 2017. Allan Leonhardsen has become Holdan's managing director with immediate effect. Allan joined the business in 2003 and has been the sales director for the past twelve years. Kieron Seth becomes sales and marketing director, adding sales to his previous marketing responsibilities. The Holdan Acquisition has been funded from the existing cash resources of the Group. The structure of consideration is in line with the Group's previous approaches, with 75% of Holdan being acquired at the time of announcement. Midwich has options to acquire the remaining 25%, over the next three years on a pre-determined methodology linked primarily to earnings growth. Consideration for the initial 75% of the Company is split €3.6m on completion and €1.8m after 12 months. In addition, the Group has incurred transaction fees and expenses in connection with the Holdan Acquisition of approximately €0.12m. The Holdan Acquisition is expected to be immediately earnings enhancing for the Group.

If no further acquisitions are planned on the short term, Midwich has already plans to expand later in Italy, Netherlands, Poland, Spain and Switzerland.
